1. Acceptance of Terms & Infrastructure Access

By registering for an account, accessing the API, or interacting with the MinerAI platform (developed and operated by Xuremi Inc., herein referred to as "Xuremi", "we", "us", or "our"), you agree to be bound by these exhaustive Terms of Service. If you are accepting these terms on behalf of a corporation, government agency, or academic institution, you represent and warrant that you hold the legal authority to bind said entity to these terms.

MinerAI is a high-availability, cloud-native infrastructure platform. Access to our GPU clusters and proprietary API endpoints is granted on a revocable, non-exclusive, non-transferable basis, strictly governed by the constraints outlined in this document and your specific subscription tier.

2. Description of Geospatial Services

MinerAI provides a geospatial artificial intelligence (GeoAI) infrastructure platform. The "Services" include, but are not limited to:

Automated ingestion and processing of multi-spectral satellite imagery basemaps (e.g., from Sentinel-2 or DigitalGlobe).
Computational resources for deploying and executing semantic segmentation and object detection neural networks.
Tools for manual geospatial annotation, dataset generation, and vector export.
Integration endpoints for synchronizing customized machine learning weights from third-party hubs such as Hugging Face.

3. Acceptable Use and Absolute Restrictions

You agree to leverage MinerAI strictly for lawful purposes—including academic research, environmental conservation monitoring, agribusiness optimization, and regulatory compliance validation. You explicitly agree NOT to use the platform, our APIs, or our processing capabilities for any of the following restricted activities:

Human Surveillance: Targeting, tracking, or surveillance of individuals or civilian populations in violation of applicable human rights frameworks or regional privacy laws.
Militarization: Military targeting, state-sponsored espionage, or the routing/guiding of kinetic weapons systems.
Illegal Extraction: Facilitating or optimizing illegal resource extraction (e.g., utilizing the platform's anomaly detection to locate and exploit unauthorized artisanal mining sites).
Platform Subversion: Attempting to reverse engineer, decompile, parse, or extract the source code, proprietary algorithms, or operational schemas of the MinerAI platform.
Abusive Load: Intentionally bypassing rate limits, deploying malicious scraping bots, or executing denial-of-service vectors against our inference endpoints.

4. Intellectual Property, Weights, and Data Ownership

Xuremi Infrastructure IP: The MinerAI platform, its underlying pipeline architecture, distributed orchestration logic, user interface code, and proprietary base-model weights remain the exclusive intellectual property of Xuremi Inc.

User-Generated Datasets: You retain complete ownership of any custom datasets, drawn polygons, specific coordinate sets, and annotations you generate on the platform. By utilizing the platform, you grant Xuremi Inc. a non-exclusive, worldwide, royalty-free license to utilize anonymized, aggregated telemetry (such as API call frequency, scan execution times, and general hardware utilization metrics) to optimize the platform's infrastructure.

Third-Party Custom Models: Xuremi claims zero ownership over third-party, custom PyTorch/TensorFlow models deployed by users via Hugging Face. Users are solely legally responsible for ensuring they possess the appropriate licensing and rights to deploy, instantiate, and run inference using any external weights they connect to our GPU clusters.

5. Service Level Agreements (SLA) & API Constraints

While we engineer our systems for 99.9% uptime, access to the MinerAI API is subject to rate limiting based on your subscription tier (e.g., Free, Pro, Enterprise). Xuremi Inc. reserves the right to throttle, queue, or temporarily pause inference requests during periods of extreme global grid load to preserve overall system stability. We do not guarantee real-time latency for Free-tier users during peak operational hours.

6. Limitation of Liability and Disclaimer of Warranties

THE MINERAI PLATFORM AND ALL ASSOCIATED APIS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. XUREMI INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Geospatial AI is probabilistic by nature. Under no circumstances shall Xuremi Inc., its founders, core engineers, or institutional partners (including the Mining Engineers Society of Kenya) be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of your reliance on the platform. Xuremi Inc. is strictly not liable for legal, financial, or regulatory decisions made by your organization based on the false-positive or false-negative inference results generated by the platform.

7. Account Suspension and Termination

Xuremi Inc. retains the absolute right to suspend, throttle, or permanently terminate your workspace access immediately, without prior notice or financial liability, if our automated security systems or engineering team determines that you have breached the Acceptable Use policy (Section 3), attempted to subvert billing mechanisms, or engaged in actions that threaten the integrity of our cloud infrastructure.

8. Governing Law and Dispute Resolution

These Terms of Service, and any disputes arising directly or indirectly from your use of the MinerAI platform, shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any legal action or proceeding related to this platform shall be instituted exclusively in a competent court of jurisdiction located in Nairobi, Kenya.
